Andernfalls wird die Rechtseinheit vom Amt für Handelsregister und Notariate gemäss Art. 153b HRegV für aufgelöst erklärt und die Mitglieder des obersten Leitungs- oder Verwaltungsorgans als Liquidatorinnen und Liquidatoren eingesetzt. Einzelunternehmen und Zweigniederlassungen werden gelöscht. Weiter spricht das Amt für Handelsregister und Notariate gegebenenfalls gemäss Art. 943 OR gegen die Eintragungspflichtigen Ordnungsbussen von CHF 10 bis CHF 500 aus. Wird innerhalb von drei Monaten nach Eintragung der Auflösung einer juristischen Person oder einer Personengesellschaft der gesetzliche Zustand wieder hergestellt, indem das neue Rechtsdomizil rechtskonform zur Eintragung angemeldet wird, so kann das Amt für Handelsregister und Notariate die Auflösung widerrufen.
